In a significant development that raises serious questions around governance standards, Atanu Chakraborty, part-time chairman and independent director of HDFC Bank, has resigned with immediate effect, citing concerns related to “values and ethics.”
“Not in Congruence with My Values”
In his resignation letter addressed to the bank’s Governance, Nomination and Remuneration Committee, Chakraborty made an unusually candid remark:
“Certain happenings and practices within the bank, that I have observed over the last two years, are not in congruence with my personal values and ethics.”
He further clarified that there were no other material reasons behind his decision—making the ethical concerns the sole trigger for his abrupt exit.
A Key Phase: Post-Merger Oversight
Chakraborty joined the board in May 2021 and played a role during one of the most transformative phases in the bank’s history—the merger of HDFC Ltd with HDFC Bank.
He noted that while the merger created a financial giant—now India’s second-largest bank—the full benefits are yet to materialize, hinting at ongoing integration or operational challenges.
